Job Summary: Furnishes paralegal, contracts administration and administrative support for General Counsel (member of Executive Management Team) and provides assistance to other departments as needed. Preparation and administration of legal documents, correspondence, reports, contracts; interaction with external counsel, coordination of intellectual property filings and corporate records. Manages the company's agreements and corporate governance materials as well as its non-disclosure agreement process and contract databases. Also performs various functions for and provides support to the Company's Board of Directors. Essential Functions*: Preparation and administration of legal documents under supervision of General Counsel. Draft correspondence and other written materials. Edit documents and reports for accuracy, format, and organization. Review and manage the company's non-disclosure agreements; distribution agreements; visitor policy; assists with property agreements. Responds, in coordination with General Counsel, to inquiries regarding contract obligations and revisions Maintain the company's contract management database Assist in coordination of the Company's intellectual property, trademarks and patents portfolio, and maintain intellectual property records. Maintain the company's corporate governance records for corporation and its subsidiaries. Maintain records of company's leases, assets and insurance certificates. Review corporate files and research in response to requests for information. Maintain and/or create files or record-keeping for various applications and foreign authorities. Organizes files for corporate legal matters and maintains files of legal documents, or other materials. Coordinate meetings involving the Company's Directors. Assist in preparing meeting minutes and distributing same to appropriate individuals.\ Compile information and materials for quarterly meetings. Assembles Board and Committee materials; ensures timely distribution prior to meetings. Maintain legal calendar. Other duties, including executive administrative assistance as necessary or assigned. Travel in this role is unlikely. *Employees must be able to perform the essential functions of the job with or without reasonable accommodation. A certificate of completion or a degree from an approved paralegal program or post-secondary institution with three (3) to five (5) years of office, admin, or legal experience; or a baccalaureate degree (business related discipline preferred) with three (3) to five (5) years of law related experience. Ability to properly handle materials that are highly sensitive and confidential. General knowledge of legal terminology and procedures. Ability to establish and maintain effective working relations with others. Exceptional ability to communicate effectively orally and in writing, in English. Ability to organize and prioritize workload, and address multiple tasks/deadlines. Ability to maintain calm and be productive under time deadlines. Ability to work independently and be self-starting. Expert knowledge of administrative and clerical procedures and systems such as word processing systems, records management systems, file organization and maintenance, preparation of standard forms and other typical office procedures and terminology. Knowledge of government contracting procedures and export control a plus. Notary public is preferred Physical Requirements: Office work environment- Must occasionally lift and/or move up to 10 pounds. Specific vision abilities required by this job include Close vision.
