Summary: Broadstone Real Estate, LLC ("BRE"), a full-service real estate company that serves as the sponsor of two real estate investment trusts ("REITs"), is seeking a Manager of Financial Reporting & Technical Accounting ("MFR&TA") to oversee all facets of the public financial reporting function for one of the sponsored REITs, Broadstone Net Lease, Inc. ("BNL"), including preparation of SEC filings, related financial information, management's discussion and analysis, and XBRL review. The MFR&TA will be primarily responsible for leading the department's analysis of technical accounting matters for BNL and for BRE's other sponsored funds, including analyzing the financial statement impact of new accounting standards and the related operational impacts, ad-hoc business transactions such as significant acquisitions in accordance with regulation S-X 3-14 and derivatives and hedging, and for drafting related interpretation memorandums/position papers. The MFR&TA works to ensure compliance with US GAAP, internal controls, and company policies and procedures, while driving best practices through research, standardization, and awareness among business constituents. The MFR&TA will work on project teams that are responsible for complex business transactions. The MFR&TA will hold primary responsibility for the preparation of earnings releases and other press releases, conference call scripts, and to ensure overall quality and accuracy of external reporting. The MFR&TA will be directly responsible for managing the preparation of BNL's SEC filings, including Forms 10-Q, 10-K, 8-K, and Proxy Statements. The position will be responsible for ensuring compliance with SEC regulations and will be required to keep abreast of new or proposed SEC requirements and to communicate the potential impact of such requirements to executive management. The MFR&TA will be expected to effectively interact with the accounting, legal, acquisitions and investor relations teams on all SEC filings and technical accounting matters, including providing SEC and technical accounting guidance for other sponsored funds. The MFR&TA will have primary responsibility for coordination with the company's internal and external auditors, including responding to information requests and reviewing materials assembled in response, providing financial reporting timelines and related materials, and for communicating observations to senior management. The MFR&TA will report directly to the Chief Accounting Officer, and will work hand-in-hand with the assistant controller and controller on financial reporting and technical accounting matters. The MFR&TA will be a member of the disclosure committee, and will be primarily responsible for coordinating disclosure committee meetings, including keeping abreast of business developments within the organization, proactively coordinating discussion topics with committee members and other relevant parties, and drafting materials for committee meetings. The MFR&TA will also assist in drafting board and audit committee materials, and for various ad-hoc analyses associated with the board meetings. The MFR&TA will provide guidance and oversight to the financial reporting senior accountant. The ideal candidate will have five or more years of public accounting experience or an equivalent of industry experience, with a focus on SEC filings and technical accounting matters. Working knowledge of SEC reporting requirements, US GAAP, Sarbanes-Oxley requirements and best practices, and the COSO 2013 framework is critical to success. Real estate experience and exposure are a plus, but not required. Candidate must have strong written and communication skills, and be able to present at board-level meetings. The individual will be able to work independently and be exceedingly well organized, flexible and able to produce high quality work under strict deadlines. Also calls for excellent interpersonal skills, project coordination experience, and the ability to work well with all levels of internal management and staff. Essential Job Duties and Responsibilities - Financial Reporting: Participate in the drafting and filing of the REIT's first Form 10-K in early 2018. On an ongoing basis, manage the preparation and filing of Forms 10-Q, 10-K, and 8-K with the SEC, including XBRL and HTML Establish and implement the mechanisms and controls necessary for preparing and filing all SEC filings and reports on a timely basis Participate in the completion of the proxy statement, SEC comment letters and other shareholder related reports as needed Draft earnings releases together with the investor relations department. Ensure SEC documents are in compliance with US GAAP disclosure requirements and SEC regulations Create closing/filing calendars and checklists, review underlying supporting documentation for the SEC reports, and coordinate with external auditors Keep up to date on all SEC requirements; Monitor and ensure timely identification and compliance with these evolving requirements and communicate their impact on the company to management Work closely with the REIT's Assistant Controller and Controller relative to GAAP disclosures as they pertain to SEC reporting regulations Active member of the disclosure committee, including presenting the financial statement impact of financial reporting developments and technical accounting matters. Participate in the preparation of additional internal financial reports for BRE and the sponsor's other REITs Prioritize and manage multiple projects simultaneously, and follow through on issues in a timely manner Provide guidance and supervision to financial reporting senior accountant Additional duties as required Essential Job Duties and Responsibilities - Technical Accounting: Provide accounting support and guidance for complex business transactions such as acquisitions, dispositions, asset impairments, derivatives and hedging, and financing activities, amongst others. Research and provide technical accounting guidance in accordance with US GAAP Proactively analyze emerging accounting pronouncements for implications to BNL and other sponsored funds, including the new revenue recognition and lease accounting standards, amongst others. Memorialize findings and present to senior management. Assist in the implementation of new accounting standards applicable to the organization, including formulating and owning necessary controls for successful implementation and ongoing monitoring, as well as interpreting and relaying the impact to non-accounting personnel. Jointly responsible for updating and creating accounting policies and procedures required by either technical accounting, business or internal control changes Participate in and lead projects from an accounting perspective that arise as a result of business requirements, such as implementation of new software or process improvements Coordination of internal and external audits Process owner for Net Asset Value ("NAV") and NAV per share computations, including utilizing understanding of valuation techniques and coordination with third-party valuation specialists and other internal parties to present BNL's NAV Participate in asset review committee meetings to provide insight and technical accounting guidance and implications for developments within BNL's real estate portfolio Participate in credit underwriting discussions for acquisition targets to provide accounting and financial reporting insights, and for interpreting target company financials Draft materiality and risk assessments for business transactions Skills/Qualifications: Strong organizational and planning skills; Strong attention to detail; Passionate about quality and accuracy Deep understanding of SEC reporting requirements, US GAAP, Sarbanes-Oxley, and COSO Technical accounting proficiency, with the ability to research, document, and communicate technical accounting matters.
